Terms of Service — Nurobodi

These Terms of Service ("Terms") govern your access to and use of www.nurobodi.com and all services offered by Nurobodi, Melbourne, Victoria, Australia ("Nurobodi", "we", "us", or "our"). By accessing our website, purchasing a product or service, enrolling in a course, booking a session, or engaging with our research or consulting services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. About Nurobodi
Nurobodi operates as a dual-purpose practice encompassing: (a) an affective AI research and design consultancy offering research collaboration, UX/interaction design, responsible AI consulting, and related professional services; and (b) a human wellbeing practice offering vocal resonance therapy, qi gong instruction, sound and colour wellbeing sessions, and related digital courses and programs. These Terms apply to both aspects of the practice and all associated products, services, and digital content.
2. Eligibility
By using our services, you confirm that you:
Are at least 18 years of age, or have parental or guardian consent
Have the legal capacity to enter into a binding agreement
Are accessing our services for lawful purposes only
Have provided accurate and truthful information in any registration or booking process
3. Services
3.1 Wellbeing Services (Vocal Resonance, Qi Gong, Sound & Colour Therapy)
Nurobodi's wellbeing services — including vocal resonance analysis and therapy, qi gong instruction, sound healing, affective resonance sessions, and related programs — are offered as complementary wellness practices only. They are not medical services, and do not constitute diagnosis, treatment, or advice for any medical or mental health condition.
By engaging with any wellbeing service, you acknowledge and agree that:
You have consulted or will consult a qualified medical or mental health professional before commencing any new physical or therapeutic practice
You are responsible for disclosing any relevant medical conditions, injuries, or contraindications prior to participation
Participation is entirely voluntary and at your own risk
Results are not guaranteed and may vary between individuals
Nurobodi is not liable for any physical, emotional, or psychological effects arising from participation in our wellbeing services
If you experience discomfort, distress, or adverse effects during or after a session, you should seek appropriate professional care immediately
3.2 Research and Consulting Services
Research collaboration, UX/interaction design, responsible AI consulting, affective design services, and related professional engagements are provided subject to separate written agreements or statements of work agreed between Nurobodi and the client. These Terms apply to the general conduct of such engagements. Specific deliverables, timelines, fees, and IP arrangements will be governed by the relevant engagement agreement.
Nurobodi's research outputs, methodologies, and recommendations are provided in good faith based on available information and professional expertise. They do not constitute legal, financial, medical, or regulatory advice. Clients are responsible for obtaining independent professional advice before implementing any recommendations.
3.3 Digital Courses and Online Content
Upon successful payment, you will be granted personal, non-transferable access to your selected Nurobodi course or digital content through the Member Area. Access is for personal, non-commercial use only. You may not:
Share, resell, sublicense, or transfer your access credentials or course content to any third party
Reproduce, download, distribute, or publish any course materials without prior written permission
Use course content for commercial training, resale, or derivative works without a separate licensing agreement
Nurobodi reserves the right to revoke access without refund if these conditions are breached.
4. Bookings and Cancellations
The following conditions apply to session bookings:
Bookings are confirmed upon receipt of payment or written confirmation from Nurobodi
Cancellations made more than 48 hours before a scheduled session will receive a full credit toward a future booking
Cancellations made within 48 hours of a scheduled session may forfeit the session fee at Nurobodi's discretion
Nurobodi reserves the right to reschedule or cancel a session due to unforeseen circumstances, in which case a full credit or refund will be offered
Repeated late cancellations or non-attendance may result in a requirement for advance payment for future bookings
5. Fees, Payment, and Refunds
All fees are listed in Australian Dollars (AUD) inclusive of GST where applicable. Payment is processed securely via Stripe. Nurobodi does not store your payment card details.
Refund policy:
Digital courses and downloadable content: All sales are final due to the digital nature of the content. If you experience a technical issue preventing access, contact cy@nurobodi.com and we will make reasonable efforts to resolve the issue
Wellbeing sessions: Refunds are assessed on a case-by-case basis. Sessions cancelled in accordance with the cancellation policy above will receive a credit, not a cash refund, unless otherwise agreed
Research and consulting engagements: Refund or cancellation terms are governed by the relevant engagement agreement
Nothing in this clause limits your rights under the Australian Consumer Law (ACL), including your right to a remedy where a service fails to meet a consumer guarantee.
6. Intellectual Property
All content on www.nurobodi.com and associated materials — including but not limited to research documentation, written content, design assets, software prototypes (including the SonoChroma application), methodologies, frameworks, course materials, audio recordings, video content, and visual assets — is the intellectual property of Nurobodi unless otherwise attributed.
You may not, without prior written permission from Nurobodi:
Reproduce, copy, republish, or distribute any content for commercial purposes
Use Nurobodi's name, logo, or brand assets in any context that implies endorsement or affiliation
Reverse engineer, decompile, or extract any software, prototype, or methodology
Use any research output, methodology, or framework as the basis for a commercial product or service without a separate licensing agreement
Research outputs produced through formal collaborative partnerships (including with CSIRO, RMIT University, or CareerDC) are subject to the IP agreements governing those partnerships and may not be solely owned by Nurobodi. 7. Confidentiality
Where you share confidential information with Nurobodi in the context of a consulting or research engagement — including business strategy, proprietary data, or organisational information — Nurobodi will treat such information as confidential and will not disclose it to third parties without your consent, except as required by law. Specific confidentiality obligations for formal engagements will be detailed in the relevant engagement agreement.
Session content shared during wellbeing consultations is treated as confidential. Nurobodi will not disclose the content of personal sessions to third parties without your consent, except where disclosure is required by law or where there is a genuine risk of harm to you or others.
8. Disclaimer of Warranties
To the maximum extent permitted by Australian law, Nurobodi provides its website, services, and content on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to:
Warranties of merchantability, fitness for a particular purpose, or non-infringement
Warranties that the website will be uninterrupted, error-free, or free of harmful components
Warranties regarding the accuracy, completeness, or reliability of any content, research output, or recommendation
Nothing in this clause excludes any guarantee or warranty that cannot lawfully be excluded under the Australian Consumer Law.
9. Limitation of Liability
Nurobodi is not liable for:
Any indirect, incidental, special, consequential, or punitive loss or damage
Loss of profit, revenue, data, business opportunity, or goodwill
Physical, emotional, or psychological harm arising from participation in wellbeing services, where you have engaged voluntarily and been made aware of relevant risks
Any loss arising from your reliance on research outputs, recommendations, or consulting advice without independent verification
Interruption to or unavailability of the website or Member Area
Any third-party acts or omissions, including service providers such as Stripe or Squarespace
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited. Where the ACL applies and Nurobodi is permitted to limit its liability, Nurobodi's liability is limited, at its option, to the resupply of the relevant service or the cost of having the service supplied again.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nurobodi and related trading names or any other affiliations against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our website or services; (b) your breach of these Terms; (c) any false or misleading information you have provided to us; or (d) your infringement of any third-party rights.
11. Third-Party Links and Services
Our website may contain links to third-party websites or services (including research partners, tools, and platforms). Nurobodi does not endorse, control, or accept responsibility for any third-party content, products, or services. Your use of any third-party service is subject to that party's own terms and conditions.
12. Affiliate Program
Where an affiliate program is active, approved partners may promote Nurobodi courses or services through approved referral mechanisms. Manipulation, fraud, or abuse of any referral or affiliate system will result in immediate removal from the program and forfeiture of any outstanding commissions. Nurobodi reserves the right to modify or discontinue its affiliate program at any time.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia for the resolution of any dispute arising under these Terms.
Before commencing any legal proceedings, you agree to notify Nurobodi in writing of any dispute and allow 30 days for good-faith resolution. Where a dispute cannot be resolved informally, either party may refer the matter to mediation through a mutually agreed mediator before initiating litigation.
14. Modifications to These Terms
Nurobodi reserves the right to update or modify these Terms at any time. The current version will always be available at www.nurobodi.com/terms-of-service with the date of last update noted. Your continued use of our website or services following any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should cease using our services and contact us to discuss any active arrangements.
15. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
16. Entire Agreement
These Terms, together with our Privacy Policy and any applicable engagement agreement or statement of work, constitute the entire agreement between you and Nurobodi with respect to your use of our website and services, and supersede all prior agreements, representations, or understandings.
